1. Introduction
Welcome to Truvyn, LLC. These Terms and Conditions ("Agreement") govern the marketing services provided by Truvyn, LLC ("Company," "we," "us," or "our") to clients ("Client," "you," or "your"). By engaging our services, you agree to comply with and be bound by this Agreement.

3. Client Responsibilities

• The Client agrees to provide all necessary materials, approvals, and information required for the execution of marketing services.
• The Client must ensure that all content provided complies with applicable laws and does not infringe on any third-party rights.
• The Client is responsible for providing timely feedback and approvals to avoid delays in project timelines.

4. Payment Terms

• All pricing and payment structures will be detailed in a separate proposal or contract.
• Payments must be made according to the agreed-upon schedule.
• Late payments may incur penalties or service suspension until the balance is paid.
• Any additional costs incurred during the execution of services (such as ad spend) will be billed separately.

5. Intellectual Property

• Truvyn, LLC retains ownership of any proprietary methods, templates, or strategies developed during the engagement.
• The Client retains ownership of all final deliverables produced under this Agreement once full payment is received.
• The Client grants Truvyn, LLC the right to showcase work completed for portfolio and promotional purposes unless otherwise agreed in writing.

6. Confidentiality

• Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.
• Confidentiality obligations shall survive the termination of this Agreement.

7. Termination

• Either party may terminate this Agreement with a [X] days’ written notice.
• If the Client terminates before completion, the Client will be responsible for any work completed up to the termination date.
• Truvyn, LLC reserves the right to terminate this Agreement immediately in case of non-payment, breach of contract, or unethical conduct.

8. Limitation of Liability

• We do not guarantee specific results, as marketing outcomes depend on various external factors beyond our control.

9. Indemnification

• The Client agrees to indemnify and hold harmless Truvyn, LLC from any claims, damages, or expenses arising from the use of our services or any materials provided by the Client.

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction].
